1. Acceptance of These Terms
These Terms & Conditions ("Terms") govern your access to and use of the website at youniversallearning.com (the "Site"), operated by Youniversal Learning ("Youniversal Learning," "we," "us," or "our"), a K-12 education company based in Michigan, United States. By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.
If you are using the Site on behalf of a school, district, or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. Eligibility
The Site is intended for use by adults — educators, school and district administrators, and parents or guardians. You must be at least 18 years old (or the age of majority in your jurisdiction) to submit information through the Site or engage our services. The Site is not directed to children under 13, and children under 13 should not submit any information through it.
3. Our Services
Youniversal Learning provides social-emotional learning programs for K-12 schools, including student assemblies, parent presentations, professional development for educators, focus groups, mentoring and coaching, and a digital SEL video curriculum (collectively, the "Services"). The Site describes the Services and lets you request information or a demo. Descriptions on the Site are informational and do not constitute a binding offer; all program engagements are subject to a separate written agreement as described in Section 7.
4. Acceptable Use of the Site
You agree to use the Site only for lawful purposes. You will not:
- use the Site in any way that violates applicable law or regulation;
- submit false, misleading, or fraudulent information through our forms;
- attempt to gain unauthorized access to the Site, its servers, or any connected systems;
- interfere with or disrupt the Site, including by transmitting malware, spam, or automated bulk requests;
- scrape, harvest, or collect information about others from the Site without authorization; or
- impersonate any person or organization, or misrepresent your affiliation with a school or district.
5. Inquiries & Form Submissions
When you submit a demo request or other inquiry, you represent that the information you provide is accurate and that you are authorized to provide it. Submitting an inquiry does not create a contract or obligate either party to proceed. We will use your submission to respond to you as described in our Privacy Policy.
6. Intellectual Property
The Site and all of its content — including text, graphics, logos, images, photographs, videos, curriculum names and descriptions (such as Tiny Tales, Positive You, Digital Literacy, Money Management, Lost Legends, How to Talk to Robots, Mine Your Business, 9 Super Powers, and Overcoming Obstacles), program frameworks (including the Five Fundamentals), and the design and arrangement of the Site — are owned by or licensed to Youniversal Learning and are protected by copyright, trademark, and other intellectual-property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal or internal school-related informational use. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Site content without our prior written permission. All rights not expressly granted are reserved. "Youniversal Learning" and our logos may not be used without our prior written consent. Third-party names and logos on the Site (including partner school logos) belong to their respective owners and are used to identify our partnerships.
7. Program Engagements
All program deliveries — assemblies, presentations, professional development, mentoring, coaching, focus groups, and curriculum licenses — are governed by a separate written proposal, services agreement, or purchase order between Youniversal Learning and the school, district, or organization engaging us (an "Engagement Agreement"). If there is any conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls for that engagement. Pricing, scheduling, cancellation, and refund terms are set out in the applicable Engagement Agreement.
Handling of student information in connection with an engagement is governed by the Engagement Agreement and by the student-privacy commitments in our Privacy Policy, including our obligations under FERPA and applicable state student-privacy laws.
8. Testimonials & Results
Testimonials, statistics, and outcomes described on the Site reflect the experiences of specific schools, students, and educators. They are shared in good faith but are not a guarantee of results. Outcomes vary by school, program format, implementation, and student population.
9. Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY — INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT IS ACCURATE, COMPLETE, OR CURRENT.
Our programs are educational in nature. They support students' social-emotional development but are not a substitute for professional mental-health diagnosis, treatment, counseling, or crisis services. If a student needs immediate help, contact a licensed professional, call or text 988 (Suicide & Crisis Lifeline), or call 911.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, YOUNIVERSAL LEARNING AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND IT DOES NOT APPLY TO LIABILITY GOVERNED BY AN ENGAGEMENT AGREEMENT, WHICH CONTAINS ITS OWN TERMS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify, defend, and hold harmless Youniversal Learning and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.
12. Third-Party Sites & Services
The Site may contain links to third-party websites and services (including social-media platforms and form-processing services). We do not control and are not responsible for third-party sites, their content, or their privacy and security practices. Linking does not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms.
13. Privacy
Our collection and use of personal information through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference.
14. Suspension & Termination
We may suspend or terminate your access to the Site at any time, without notice, if we believe you have violated these Terms or applicable law, or to protect the Site and its users. Sections that by their nature should survive termination (including Sections 6, 8–11, 15, and 17) will survive.
15. Governing Law & Disputes
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site that cannot be resolved informally will be brought exclusively in the state or federal courts located in Michigan, and you consent to the personal jurisdiction and venue of those courts. To the extent permitted by law, any claim must be brought within one (1) year after it arises, and each party waives any right to a jury trial and agrees that disputes will be resolved on an individual basis — not as a class or representative action.
Before filing any claim, you agree to first contact us at info@youniversallearning.com and make a good-faith effort to resolve the dispute informally for at least 30 days.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, provide a more prominent notice on the Site. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
17. General Provisions
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Site, superseding any prior agreements about the Site (but not any Engagement Agreement).
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
